Contractor Lead Service Agreement

1. Service Overview
Treasure Valley Trades ("TVT", "we", "us") provides a lead generation service connecting pre-qualified homeowners in the Treasure Valley area with licensed contractors ("Contractor", "you"). By enrolling in our service, you agree to the following terms.
2. Lead Pricing
Leads are priced based on urgency at the time of homeowner submission. Founding contractors receive special pricing:

Founding contractors receive their first 3 leads at no charge. The founding rate of $25 (standard) / $50 (emergency) is locked for 6 months from enrollment date. After the founding period, standard rates of $35 / $75 apply. Prices may be adjusted with 30 days written notice. You will always be notified before any pricing change takes effect.
3. Lead Exclusivity
Every lead is 100% exclusive to you. We do not sell the same lead to multiple contractors. Each lead is matched to one contractor based on trade and service area. This is the core of our service and will never change.
4. Lead Delivery
Leads are delivered in real-time via SMS and/or email (based on your preference) and include: homeowner first name, phone number, service type requested, city, job description, and urgency level. You have a 2-hour window to acknowledge each lead. Leads not acknowledged within 2 hours may be offered to a backup contractor.
5. Contact Requirements
You must make a minimum of 2 contact attempts (call + text or 2 calls) within 48 hours of receiving a lead. Failure to attempt contact within this window means the lead is non-disputable and billable. We track contact attempts to ensure fair billing.
6. Billing and Payment
Invoices are generated monthly for all leads delivered during the billing period. Payment is processed automatically via the card on file through Stripe. Invoices include a detailed breakdown of each lead with date, type, and amount. You will receive a Lead ROI Summary email with each invoice showing estimated revenue generated.
7. Disputes
If you believe a lead is invalid (disconnected number, no response after 2 attempts, duplicate, or spam), you may submit a dispute within 72 hours of receiving the lead. Disputes are reviewed and resolved within 24 hours. Valid disputes result in a credit on your next invoice. A lead is not billable if the phone number is invalid, the homeowner doesn't respond to 2 contact attempts within 48 hours, the submission is a duplicate within 30 days, or it's clearly spam.
8. Pausing and Cancellation
You may pause or cancel your service at any time with no penalties. Text or email Kyle directly to pause — takes effect immediately. While paused, no leads are sent and no charges accrue. There are no contracts, no commitments, and no cancellation fees. Outstanding invoices for leads already delivered remain payable.
9. Requirements
To remain active in the network, you must maintain a valid Idaho contractor license for your trade, carry active general liability insurance (minimum $500K), respond to leads within the 48-hour contact window, and maintain professional conduct with homeowners referred through our service.
10. Liability
TVT connects homeowners with contractors but does not perform, supervise, or guarantee any work. The contractor is solely responsible for the quality, safety, and legality of all services provided. TVT's liability is limited to the value of leads delivered.
